Nael Media (also referred to as "Nael Advertising," "we," "us," or "our") is a creative marketing agency based in Dubai, United Arab Emirates. We provide branding, web design, paid advertising, social media management, video production, influencer marketing, and related digital services.

We offer a range of marketing and creative services. The exact scope, deliverables, timeline, and price for any engagement are defined in a separate proposal, statement of work, or agreement signed between you and us. These Terms apply alongside that agreement; if there is a conflict, the signed agreement takes precedence.

All work begins after you approve a written proposal and any required deposit is received. Verbal agreements are not binding unless followed by a signed document.
Fees are stated in your individual agreement and are exclusive of UAE VAT (currently 5%) unless otherwise specified. Third-party costs (ad spend, stock media, software licenses, talent fees, hosting, etc.) are billed separately or passed through to you.
Unless agreed otherwise in writing, invoices are due within 14 days of issue. We reserve the right to pause or stop work on overdue accounts. Late payments may incur a recovery fee or interest charge as permitted by UAE law.
Deposits are non-refundable once work has commenced. For ongoing retainers, you may cancel with 30 days' written notice; fees for the notice period remain payable.

Delays caused by missing materials, slow approvals, or scope changes on your side may affect timelines and may incur additional fees.
Once full payment is received, ownership of the final approved deliverables (such as logos, designs, websites, and content created specifically for you) transfers to you, except for any third-party assets that remain subject to their original license.
Source files, working files, and concepts not selected by you remain our property unless explicitly purchased.
Our processes, methodologies, internal tools, code libraries, and pre-existing IP remain owned by Nael Media. We grant you a perpetual, non-exclusive license to use them as part of your final deliverables.
We reserve the right to feature work created for you in our portfolio, case studies, social media, and award submissions, including the use of your logo and brand name, unless we have agreed otherwise in writing (such as under a non-disclosure agreement).
We treat all non-public information you share with us — strategies, financials, customer data, internal documents — as confidential. We will not disclose it to third parties except where necessary to deliver our services (such as to subcontractors under similar obligations) or where required by law.
We expect the same in return: any pricing, methods, or proposals we share with you should not be disclosed to our competitors or used outside the scope of our engagement.
Our work often relies on platforms we don't control, including Meta, Google, TikTok, LinkedIn, hosting providers, payment gateways, and analytics tools. We are not responsible for changes, outages, account suspensions, policy updates, or pricing changes on those platforms. Where access to your accounts is needed, you authorize us to act on your behalf within the scope of our engagement.
Marketing involves variables outside our control: market conditions, competition, audience behavior, platform algorithms, and your own product, pricing, and operations. We commit to delivering our services with care, skill, and professional judgment, and we may share projections or benchmarks based on past data — but we do not guarantee specific business outcomes such as a set number of leads, sales, follower count, or revenue figures, unless explicitly stated in a written performance agreement.
To the fullest extent permitted by UAE law:
Nothing in these Terms limits liability for fraud, willful misconduct, or anything else that cannot lawfully be excluded under UAE law.
Either party may terminate an engagement for material breach if the breach is not cured within 14 days of written notice. We may also terminate immediately for non-payment, fraudulent conduct, or requests that violate the law or our ethical standards.
On termination, you owe us for all work completed up to the termination date, plus any unrecoverable third-party costs. We will hand over completed deliverables for which payment has been received.

We may update these Terms from time to time. The current version is always posted on our website with the "Last updated" date at the top. Material changes affecting active engagements will be communicated to you directly. Continued use of our services after changes are posted means you accept the updated Terms.
These Terms are governed by the laws of the United Arab Emirates and the Emirate of Dubai. Any dispute arising from our services or these Terms will first be addressed through good-faith discussion. If unresolved within 30 days, the dispute will be submitted to the competent courts of Dubai, UAE.
